BTSE Indonesia AFFILIATE PROGRAM POLICY

Terms governing participation in the BTSE Indonesia Affiliate Program

This Affiliate Program Policy (the “Policy”) governs participation in the BTSE Indonesia Affiliate Program (the “Program”). It operates alongside, and is incorporated by reference into, the Platform's Terms of Service (the “Conditions”). Capitalised terms used but not defined in this Policy have the meanings given to them in the Conditions. In the event of any conflict, the Conditions prevail unless this Policy expressly states otherwise.

1. Agreement and Incorporation

   1. By applying to, accessing, or participating in the Program, you agree to be bound by:

2. this Policy;

3. the Conditions;

4. the Privacy Policy and Cookie Policy; 

5. the Disclaimers; 

6. the Fee Schedule; 

7. And any other policies, schedules, or guidelines published by BTSE Indonesia from time to time (together, the “Program Documents”).

2. BTSE Indonesia may amend, modify, delete, update, or otherwise vary this Policy or any Program Document at any time, in accordance with the Conditions (each a “Variation”). Continued participation in the Program after a Variation constitutes acceptance of the updated terms.

3. The Referral Program Terms and Conditions govern BTSE Indonesia's casual referral programme for general users. This Policy governs the Affiliate Program for professional partners, including influencers, KOLs, publishers, and community leaders. The Referral Program Terms do not apply to Affiliates unless expressly incorporated into this Policy.
   
   

2. Definitions

The following terms have the meanings set out below wherever they are used in this Policy:

3. Eligibility, Application, and Onboarding

   1. BTSE Indonesia may approve, reject, suspend, or revoke Affiliate status in its sole and absolute discretion, at any time.

   2. Affiliates must be at least 18 years of age, capable of entering into binding agreements, and must comply at all times with Applicable Laws, including AML/CTF, Sanctions, consumer protection, financial promotions and advertising, anti-bribery and corruption, and privacy and data protection laws.

   3. BTSE Indonesia may require Minimum KYC Level 1, tax, and payout information, and may engage third-party providers to verify such information. Failure to provide requested information may result in suspension or termination of Affiliate status.

4. Relationship of the Parties

   1. The parties are independent contractors. Nothing in the Program creates a partnership, agency, employment, fiduciary, or joint venture relationship between BTSE Indonesia and any Affiliate.

   2. An Affiliate has no authority to make promises, representations, warranties, or commitments on BTSE Indonesia's behalf, and must not hold themselves out as BTSE Indonesia's agent or representative.

5. Program Mechanics, Attribution, and Links

   1. Upon approval, the Affiliate will receive a unique link or code and access to the Affiliate Dashboard, to create campaigns and, where enabled, manage Partners or Sub-Affiliates via Link Management.

   2. A Referral must register using the Affiliate's link or code to be attributed to that Affiliate. Referral relationships are locked once attributed and cannot be moved or reassigned.

   3. Affiliates must not engage in cookie-stuffing, auto-redirects, forced clicks, link injection, or any other form of attribution manipulation. BTSE Indonesia's systems and logs are final and conclusive for all attribution and commission calculations.

   4. Where a new custom link path is created, prior paths may become invalid. Affiliates are responsible for managing their link lifecycle accordingly.

6. Commission, Revenue-Sharing, and Payouts

   1. Rates and Tiers

Base commission rates, tier thresholds, temporary campaigns, and performance bonuses are set out in Annex A (Commission & Tier Schedule) and may be updated by BTSE Indonesia from time to time. Any numerical rates shown in sample materials or general communications are indicative only and are not contractually binding.

2. Exclusions

No commission accrues on: 

1. zero-fee trades; 

2. trades settled via rebate cards, where any related credit is issued in rebate form only;

3. trades with special fee arrangements; 

4. any portion of fees negated by negative maker fees; 

5. Or fraudulent, manipulative, or otherwise prohibited activity.

3. Partners and Sub-Affiliates

Where enabled, an Affiliate may create Partner links with an agreed revenue-share ratio via Link Management. New or modified ratios take effect for daily calculations at 00:00 UTC and apply to the preceding day's accruals, as displayed in the Affiliate Dashboard. A Partner cannot be attached to multiple upstream Affiliates simultaneously.

4. Payouts

Unless otherwise stated in Annex A, commissions accrue daily and are credited to the Affiliate's Spot wallet in USDT, or another currency designated by BTSE Indonesia. BTSE Indonesia may change the payout frequency or currency, and may withhold or offset amounts to comply with applicable Laws and regulations or this Policy.

5. Clawback and Withholding

BTSE Indonesia may withhold, reverse, or claw back commissions, or suspend payouts, where it reasonably suspects error, fraud, manipulation, breach of this Policy, breach of the Conditions by Referrals or Partners, chargebacks or refunds, AML/CTF or Sanctions flags, or where required by applicable laws and regulations.

6. Taxes

Affiliates are solely responsible for any taxes due on commissions earned. BTSE Indonesia may deduct or withhold amounts required by applicable laws and regulations.

7. Promotional Standards and Content Guidelines

   1. Good Faith

Affiliates must ensure all promotions are truthful, fair, and non-misleading. Affiliates must not promise profits or guarantee returns, and must disclose material risks where required.

2. Disclosures

Affiliates must include all legally required disclosures, such as #ad or #sponsored tags, risk disclaimer and any statements mandated by applicable laws and regulations.

3. Brand Use

Affiliates may only use BTSE Indonesia-approved names, logos, and assets. Affiliates must not alter such assets or create pages that could be mistaken for official BTSE Indonesia pages, and must not bid on BTSE Indonesia trademarks or confusing variants in paid search advertising.

4. Prohibited Content

Affiliates must not produce or distribute content that is unlawful, harmful, threatening, abusive, defamatory, obscene, hateful, discriminatory, or infringing, and must not disparage BTSE Indonesia.

5. Jurisdictions

Affiliates must not promote the Program or Platform in any Prohibited Jurisdiction, or to any Prohibited User, as defined in the Conditions, and must implement geo-blocking or audience controls where feasible.

6. No Advice

Affiliates must not provide investment, legal, tax, or financial advice of any kind.

8. Prohibited Conduct

The following conduct is strictly prohibited and may result in suspension, termination, clawback of commissions, and reporting to relevant authorities:

1. Fraud, self-referrals, multi-accounting, device or IP farms, bot or fake traffic, and traffic laundering;

2. Wash trading, fee mining, circular or self-dealing arrangements, and market manipulation;

3. Encouraging KYC or geo-blocking evasion, including through VPNs or proxies, or onboarding ineligible or sanctioned persons;

4. Spam or unsolicited mass messaging, and misleading giveaway funnels tied to mandatory deposits or trades;

5. Holding oneself out as BTSE Indonesia's agent, or making unapproved claims or commitments on BTSE Indonesia's behalf; and

6. Any activity likely to cause regulatory, legal, or reputational harm to BTSE Indonesia.

9. Compliance, Audit, and Corrective Action

   1. Affiliates must comply with all Applicable Laws and regulations, the Conditions, and this Policy at all times.

   2. Upon reasonable notice, Affiliates must provide information regarding their promotional channels, placements, claims, and traffic sources, and must cooperate with BTSE Indonesia's compliance inquiries.

   3. Affiliates must promptly remove or correct any non-compliant content when notified by BTSE Indonesia.

10. Data Protection and Confidentiality

    1. Affiliates must comply with the Privacy Policy, the Conditions, and Applicable data-protection laws when handling, storing, transferring, exporting, or deleting such data.

    2. Any export or download of data must be strictly within authorised scope and handled securely. Apart from approved methods, copying, screen-capturing, or recording dashboard data is prohibited.

    3. Affiliates must promptly notify BTSE Indonesia's Customer Service at support@btse.id of any suspected breach, unauthorised access, or incident affecting the confidentiality or integrity of data.

    4. Upon termination or on request, affiliates must return or securely delete all BTSE Indonesia data, including any exported or downloaded local copies.

    5. A click-wrap Data Protection and Privacy & Confidentiality Notice is presented before first access to the Dashboard and following major updates. The current text of that notice is set out in Annex B and is incorporated into this Policy by reference. Breach of this Section may result in immediate suspension or termination of Affiliate status, and may give rise to legal action.

11. Suspension, Revocation, and Termination

    1. BTSE Indonesia may suspend, revoke, or terminate an Affiliate's participation at any time, with or without cause, including for breach of this Policy, suspected fraud or manipulation, inactivity, regulatory risk, or otherwise at BTSE Indonesia's sole and absolute discretion.

    2. On termination, the Affiliate must cease all Program promotions, stop using BTSE Indonesia brand assets, and delete or return all BTSE Indonesia data. BTSE Indonesia may withhold unpaid commissions pending investigation.

    3. Sections 6, 7, 9, and 10, and the Annexes to this Policy, survive termination of an Affiliate's participation in the Program.

12. Intellectual Property

    1. All rights, title, and interest in BTSE Indonesia's trademarks, logos, content, software, data, and materials remain with BTSE Indonesia or its licensors. Affiliates receive a limited, revocable, non-exclusive, non-transferable licence to use approved assets solely to promote the Program in accordance with this Policy.

13. Representations and Warranties

Each Affiliate represents and warrants, on a continuing basis, that:

1. all information provided in their application is true, complete, and current;

2. they will comply with Applicable Laws, including AML/CTF, Sanctions, anti-bribery, consumer protection, advertising and financial promotion, and personal data protection and privacy laws;

3. they are not a Prohibited User and will not target Prohibited Jurisdictions;

4. their promotional materials will be accurate, fair, and not misleading;

5. they will not provide unauthorised advice; and

6. they will maintain appropriate policies and controls to meet the requirements of this Policy.

14. Indemnity

    1. Each Affiliate shall indemnify and hold harmless BTSE Indonesia and its affiliates, shareholders, officers, directors, employees, and agents from and against any and all losses, claims, damages, liabilities, penalties, fines, and expenses, including reasonable legal fees, arising out of or in connection with the Affiliate's participation in the Program, their content or promotions, their breach of this Policy, the Conditions, or Applicable Laws and regulations, or their negligence, wilful misconduct, or fraud.

15. Disclaimers and Limitation of Liability

    1. The Program, the Affiliate Dashboard, links, analytics, and assets are provided “as is”, without warranties of any kind.

    2. To the maximum extent permitted by Applicable Laws, BTSE Indonesia shall not be liable for any indirect, incidental, special, punitive, or consequential damages, or any loss of profits, revenue, goodwill, or data.

    3. To the extent liability cannot be excluded, BTSE Indonesia's aggregate liability shall be limited to commissions properly earned but unpaid for the three (3) months preceding the event giving rise to the claim.

16. Variations and Order of Priority

    1. BTSE Indonesia may modify, suspend, or terminate the Program, any commission schedule, and/or this Policy at any time. In the case of any conflict, the Conditions prevail, followed by this Policy, followed by the Annexes and other Program materials.

17. Governing Law and Dispute Resolution

    1. Disputes shall be resolved in accordance with the laws of the Republic of Indonesia.  Any disputes arising shall be settled under the rules of the Indonesian Arbitration Body or Badan Arbitrase Nasional Indonesia (BAN)I arbitration. Nothing in this Policy limits BTSE Indonesia's right to seek injunctive or other equitable relief to protect its intellectual property, confidential information, and data.

    1. For questions related to the Affiliate Program, including applications, commissions, or the Affiliate Dashboard, please contact our team at partnership@btse.id.

    2. For any questions, requests, or notices regarding the Terms & Conditions or BTSE Indonesia services, please contact our Customer Support team at help@btse.id.

Annex A — Commission and Tier Schedule

This Annex is illustrative and subject to live rates displayed in the Affiliate Dashboard.

1. Base Commission. Actual base rates and their assignment may vary by region, product, Partner tier, and campaign, and are displayed in the Affiliate Dashboard.

2. Performance Bonuses and Campaigns. BTSE Indonesia may grant temporary tier boosts, milestones, or volume-based incentives at its discretion. Campaign terms will be announced via the Dashboard or by notice.

3. Sub-Affiliate Revenue Sharing. An Affiliate may assign a Partner revenue-share ratio via Link Management, for example a 60/40 split between Affiliate and Partner. Where Affiliate A recruits Partner B at a 60/40 ratio, and B in turn recruits Partner C: A earns 20% of C's eligible commissions, being the upstream share remaining after B's 40%, and B earns 40% of C's eligible commissions. New or modified ratios take effect for daily calculations at 00:00 UTC and apply to the preceding day's accruals.

4. Payout Frequency and Currency. By default, commissions accrue daily and are credited to the Spot wallet in USDT, unless otherwise specified. Minimum payout thresholds and any holdbacks will be displayed in the Dashboard.

Annex B — Data Protection, Privacy and Confidentiality Notice

By accessing the Affiliate Dashboard, the Affiliate acknowledges that they may access personal and transactional data of BTSE Indonesia customers, including UIDs, transaction details, and commission records. BTSE Indonesia is committed to respecting its customers' privacy and safeguarding their personal data in accordance with Applicable data protection laws. Affiliates granted access to customer data are required to adhere to the following obligations:

1. Treat all customer data as strictly confidential and protect it from unauthorised access, sharing, or use.

2. Use such data solely for Program purposes, with no processing beyond those purposes.

3. Comply with the BTSE Indonesia Privacy Policy and Applicable data-protection laws when handling, storing, transferring, exporting, or deleting data.

4. Ensure any export or download is strictly within authorised scope and handled securely, to prevent unauthorised access, loss, or breach.

5. Refrain from copying, screen-capturing, or recording dashboard data, except through approved methods.

6. Promptly notify BTSE Indonesia's Customer Support at support@btse.id of any actual or suspected data breach, unauthorized access, or other incident affecting the confidentiality or integrity of data.

7. Return or securely delete BTSE Indonesia data, including exported or downloaded local copies, upon termination or on request.

Failure to comply with these obligations may result in immediate suspension or termination of access, and may expose the Affiliate to legal action.
